The Free Months Count

Bizee, formerly Incfile, folds registered agent coverage into its formation packages at no charge. How long depends on which package you buy: as little as a quarter, as much as a full year. Genuine value, not a trick. Form a Georgia LLC through them and an ongoing cost vanishes from the stretch of the year when you are least able to absorb it, and the appointment works exactly as it should while it is free.

If you are forming a company right now and weighing formation offers, count those months. They are worth counting.

$149 Is Not Cancelled, Just Postponed

Once the included term expires, or if the service is bought by itself with no formation order attached, the rate is $149 a year.

That is published and it is not a trap. It is just easy to forget, because free months produce no invoice and no invoice produces no reminder. The jump from nothing to $149 happens on a date buried in a signup confirmation you have not opened since.

So do two things. Dig out the expiry date and calendar it a month early. And compare on $149, because a registered agent is a permanent role and $149 is what the permanent version costs.

The $99 Version

Swapping Bizee Out With the Georgia Corporations Division

Georgia is unusual: there is no purpose-built change-of-agent form here. The agent on record changes through the annual registration, or through an amendment to it. O.C.G.A. § 14-11-1103 is the section that puts the annual registration on the calendar.

Inside the filing window, January 1 through April 1, name the replacement on the annual registration you owe regardless and pay the standard $60. Nothing extra for the change.

Outside it, use Form CD 920, the amended annual registration. Georgia prices that at $30, built from a $20 filing fee and the $10 service charge. It is available every month of the year, filed through eCorp or on paper.

Two details about the filing itself. Georgia records which county your agent sits in, not merely the street address, so have that ready before you start. And a registration submitted after April 1 picks up a $25 penalty, a small sum that nonetheless tells you something useful about whether your agent watches your calendar or leaves it to you.

Order of operations, and it is not optional: hire the new agent, file, confirm the Georgia record shows the change, then close the Bizee account. Reversing it leaves a window where your entity is registered in this state with an agent who has stopped working for you, and process servers do not check whether your paperwork is mid-transition.
